Terms of Service - Sarah Gray Counseling, LLC

Welcome to Sarah Gray Counseling, LLC. These Terms of Service ("Terms") govern your access to and use of the digital marketing services provided by Sarah Gray Counseling, LLC. Please read these Terms carefully.

1. Services

Sarah Gray Counseling, LLC provides a range of digital marketing services, including but not limited to Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, social media marketing, and content marketing ("Services"). The specific scope of Services, including deliverables, timelines, and fees, will be detailed in a separate Statement of Work (SOW) or service agreement executed between you ("Client") and Sarah Gray Counseling, LLC.

2. Client Obligations

To enable us to perform our Services effectively, the Client agrees to:

Provide timely access to necessary resources, such as website back-end access, analytics accounts, and ad platform accounts.
Supply accurate and complete information required for campaign setup and management.
Cooperate with Sarah Gray Counseling, LLC by providing timely feedback and approvals on strategies, content, and other deliverables.

Any delays caused by the Client's failure to meet these obligations may impact project timelines and results.

3. Payment Terms

Payment terms will be specified in the SOW. Typically, Services are billed on a monthly retainer basis, payable in advance. Ad spend for PPC campaigns is a separate cost and is payable directly by the Client to the respective ad platforms (e.g., Google, Meta), unless otherwise agreed in writing. Late payments may result in a suspension of Services and/or incur late fees.

4. Timelines and Deliverables

Sarah Gray Counseling, LLC will make every reasonable effort to meet the project timelines outlined in the SOW. However, these timelines are estimates and not guarantees. Digital marketing is a dynamic field, and adjustments may be necessary based on performance data, market changes, or platform algorithm updates. We will communicate any significant delays or changes to the project plan.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement. This includes business strategies, client lists, financial information, and campaign data. This obligation of confidentiality shall survive the termination of our service agreement.

6. Intellectual Property

The Client retains ownership of all its pre-existing intellectual property, including logos, trademarks, and website content. Sarah Gray Counseling, LLC retains ownership of its proprietary methodologies, tools, and processes. Any creative work, content, or campaign structures developed by Sarah Gray Counseling, LLC specifically for the Client during the engagement will become the property of the Client upon full payment for the relevant Services.

7. Limitation of Liability and Disclaimer

Sarah Gray Counseling, LLC agrees to provide the Services in a professional and workmanlike manner. However, we do not guarantee specific results, such as a number one ranking on Google, a specific number of leads, or a particular return on investment. The digital marketing landscape is subject to factors beyond our control. In no event shall Sarah Gray Counseling, LLC be liable for any indirect, incidental, or consequential damages.

8. Term and Termination

The initial term of the service agreement will be specified in the SOW. Either party may terminate the agreement with written notice, typically 30 days, as outlined in the SOW. Upon termination, the Client is responsible for paying for all Services rendered up to the effective termination date.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sarah Gray Counseling, LLC is registered, without regard to its conflict of law provisions.
